S corp owner? Your premiums follow special rules.

Consultants, physicians, truckers and contractors often run their business through an S corporation. Health insurance for a more-than-2% shareholder is handled differently than for anyone else. Get it wrong and you can lose the deduction.

How the 2% shareholder treatment works

Quick answer

If you own more than 2% of an S corporation, health premiums the company pays or reimburses for you are included in your W-2 wages, but generally not subject to Social Security and Medicare tax. You then take the self-employed health insurance deduction on your personal return. A spouse or child employed by the company is treated the same way through ownership attribution.

  1. The policy can be in your name or the company's, but the S corp must pay the premium or reimburse you for it.
  2. The premium is added to your W-2 box 1 wages.
  3. You deduct it as the self-employed health insurance deduction, limited to your W-2 wages from that S corp, on Form 7206 if needed.
  4. The deduction is not allowed for months you were eligible for an employer-subsidized plan, including through a spouse.

If the company does not pay or reimburse the premium, you can lose the deduction. Confirm the mechanics with your CPA each year.

Why an owner-only S corp is not a group

Small group coverage requires at least one employee who is not an owner or an owner's spouse. An S corp made up of you, or you and your spouse, buys individual coverage and runs it through the 2% shareholder rules above. Hire one W-2 employee and group, level-funded and ICHRA plans become available; see our business plans.

What owners usually buy

S corp owners tend to have incomes above the 2027 subsidy line, so Marketplace plans are often full price. Healthy owners frequently compare a private plan on a nationwide PPO network, especially if the business involves travel. Owners with a condition to cover usually stay on the Marketplace.

The plain truth about private plans: the nationwide PPO plans we quote are private, medically underwritten plans, not Marketplace plans. A nationwide network means in-network doctors and hospitals in many states; it does not mean every service is covered. You answer health questions, and the carrier can decline you or exclude a condition. These plans are not ACA-compliant: depending on the plan, prescriptions, maternity, mental health and other benefits can be limited or left out, some benefits have dollar maximums, and out-of-network care costs more. We walk through exactly what a plan pays before you apply, and if a Marketplace plan fits you better, we tell you that too.

Questions we hear most

Can an S corp owner deduct health insurance?

Generally yes, as a more-than-2% shareholder: the S corp pays or reimburses the premium, it is included in your W-2 wages, and you take the self-employed health insurance deduction.

Can my S corp buy a group health plan just for me?

No. A group plan requires at least one employee who is not an owner or an owner's spouse.

Does my spouse count as a 2% shareholder?

For these rules, a spouse employed by the S corp is generally treated as a more-than-2% shareholder through ownership attribution.
